SEC Cancels June 2026 EDGAR Release

On June 1st, the SEC canceled EDGAR software release 26.2, which was planned for June 15, 2026. Draft EDGAR Filer Manual revisions and draft Technical Specifications related to the release that previously was published on May 15th are no longer relevant and have been removed from the SEC’s site. SEC Staff to Hold Investor Advisory Committee Meeting

SEC Proposes Rules to Allow Optional Semiannual Filings for Public Companies

On May 5th, the SEC proposed rule and form amendments that would allow public companies to file semiannual reports instead of traditional quarterly reports. The change would offer issuers greater flexibility in meeting interim reporting obligations under federal securities laws. Under the proposal, companies subject to Exchange Act Sections 13(a) or 15(d) may choose to file a new Form 10‑S twice a year in place of Form 10‑Q. Rather than file three quarterly reports and one annual report, eligible companies could choose the streamlined option to file one semiannual report and one annual report per fiscal year. SEC Advances Treasury Market Resilience with New Cross‑Margining Structure

Filing with EDGAR Next Using GoFiler: TOTP Secret Key and MFA Code Setup

In accordance with EDGAR Next, the SEC now requires enhanced identity verification and multi-factor authentication (MFA) in order for filers to obtain EDGAR account access. The time-based one-time password (TOTP) Secret Key is a common component of authentication used to satisfy those MFA requirements. The TOTP Secret Key is used by an authenticator app to generate the TOTP Code, which is a secure, 6-digit code that changes every thirty seconds. This code is a piece of information that many websites or services will ask a user to provide when they log in to verify their identity. SEC to Host Compliance Outreach on Regulation S-P
