The XBRL US Data Quality Committee (DQC) will host a webinar to discuss the recently published 15th Ruleset, which is comprised of nine rules specific to US GAAP filers and IFRS filers. The virtual event will take place on Wednesday, May 12, 2021, from 2:00 p.m. to 3:00 p.m. EDT. This event allows the DQC the opportunity to review the impact of the rules on data quality reported through the SEC program and to clarify the new draft rules. Proposed Ruleset 15 covers a range of potential error types and will warn filers of possible problems within thousands of filings. On April 20, 2021, XBRL US announced that it is requesting public review and comment on the fifteenth release of the Data Quality Committee (DQC) rules. On April 16, 2021, the SEC reopened the comment period on the proposed rules pertaining to the use of universal proxy cards in all non-exempt solicitations for contested director elections. Given the changes to the economic landscape concerning investing and universal proxy handling over the last few years, the SEC is interested in allowing the public to offer additional views.

On Friday, April 17, 2021, the SEC announced that Gary Gensler has been sworn into office as a member of the SEC and the agency’s Chair. Mr. Gensler was nominated to Chair the SEC by President Joseph R. Biden on February 3, 2021, and the Senate voted to confirm him as SEC Chairman on April 14, 2021.

On March 24, 2021, the SEC approved provisional final amendments to carry out congressionally mandated submission and disclosure conditions introduced in the Holding Foreign Companies Accountable Act of December 2020 (HFCA Act). The provisional final amendments pertain to registrants that: 1) the SEC identifies as having filed an annual report on Forms 10-K, 20-F, 40-F or N-CSR with an audit report issued by a registered public accounting firm that is in a foreign jurisdiction; and 2) the Public Company Accounting Oversight Board (PCAOB) has determined it is unable to inspect or investigate entirely because of a position taken by an authority in that jurisdiction. The SEC upgraded the EDGAR system to Release 21.1 on March 22, 2021. The system now supports the 2021 reporting taxonomies, which are the final versions of the draft taxonomies that were posted by SEC staff for public comment on September 1, 2020.

With the release of EDGAR 21.1, the SEC has revised Volume I of the EDGAR Filer Manual and Form ID, as well as related rules. Those who apply for EDGAR access who previously used the “Convert Paper Only Filer to Electronic Filer” process are now required to submit Form ID and an authenticating document to apply for access to file on EDGAR.
