On August 25th, the SEC announced that it has approved amendments to implement the pay versus performance provision as required by Congress in the Dodd-Frank Act. Under the newly adopted rules, registrants are required to disclose information about the relationship between executive compensation actually paid by a registrant and the registrant’s financial performance.

SEC Publishes Fee Rate Advisory #1 for Fiscal Year 2023
On August 26th, the SEC announced that the fees that public companies and other issuers pay to register their securities with the SEC will be $110.20 per million dollars, an increase from $92.70 per million dollars in the previous fee rate advisory. The change in the fee rate will be effective October 1.

SEC, CFTC Announce Proposed Amendments to Enhance Private Fund Reporting
The SEC has announced that, in conjunction with the Commodity Futures Trading Commission (CFTC), it is proposing amendments to Form PF that would revise reporting requirements for all filers and large hedge fund advisers. Form PF is the confidential reporting form for certain SEC-registered investment advisers to private funds. This includes those also registered with the CFTC as a commodity pool operator (CPO) or commodity trading adviser (CTA).

New Release (5.15c) for the GoFiler Family of Products
Version 5.15c of all applications in the GoFiler Suite has been released. This release corresponds to EDGAR 22.2.2 and contains support for the 2022 Q3 supplement to the US GAAP taxonomy as well as new features to paste HTML that contains XDX engrams and new options for the Send to EDGARLink Online function. Additional corrections and improvements were made to XDX processing.

On August 15th, the SEC updated the EDGAR system to Release 22.2.2 which will now support the 2022Q3 supplemental US GAAP Financial Reporting Taxonomy and 2022Q3 supplemental SEC Reporting Taxonomy (SRT). The 2022Q3 supplements to the US GAAP Financial Reporting Taxonomy and SRT are comparable to supplements that the Financial Accounting Standards Board published on its website on August 2, 2022.

SEC Announces Public Availability of Form 13F Data Sets
On August 2nd, the SEC announced that the Form 13F Data Sets are now available for download. The Form 13F Data Sets provide the securities holding information required of institutional investment managers under Section 13(f) of the Securities Exchange Act of 1934. The securities holding information is also made accessible to the public in structured Form 13F filings with the SEC. The data is extracted from the XML-based section of public Form 13F submissions made in the SEC’s EDGAR system.
