SEC Division of Corporation Finance Announces New Offices Dedicated to Crypto Assets and Industrial Applications and Services

The SEC has announced that the Division of Corporation Finance’s Disclosure Review Program (DRP) will be supplemented with an Office of Crypto Assets and an Office of Industrial Applications and Services later this fall. SEC Adopts Inflation Adjustments Under JOBS Act

On September 9th, the SEC announced that it has approved rules to adjust the annual gross revenue thresholds in the definition of “emerging growth company” (EGC). The SEC also adopted rules to increase certain dollar amounts in Regulation Crowdfunding to make effective inflation adjustments required under Titles I and III of the Jumpstart Our Business Startups (JOBS) Act. FASB Releases Proposed Changes and Technical Guide for 2023 SEC Reporting Taxonomy, Solicits Comment

SEC Publishes Insider Transactions Data Sets

On September 2nd, the SEC announced that the Insider Transactions Data Sets are available for download on sec.gov. Under Section 16 of the Securities Exchange Act of 1934, senior executives, directors, and 10%+ shareholders (also referred to as insiders) must make initial and ongoing filings pertaining to their company stock holdings. SEC Modifies Whistleblower Rules to Encourage Whistleblower Tips

On August 26th, the SEC adopted two amendments to Exchange Act Rules 21F-3 and 21F-6. These rules regulate the SEC’s whistleblower program, which was established in 2010. The first rule change expands the circumstances in which the SEC is allowed to pay whistleblowers for their information and assistance in connection with non-SEC actions in additional circumstances. The second rule affirms the SEC’s authority to consider the factors as well as the dollar amount of a potential award to increase an award but not to lower an award. SEC Approves Pay Versus Performance Disclosure Rules

On August 25th, the SEC announced that it has approved amendments to implement the pay versus performance provision as required by Congress in the Dodd-Frank Act. Under the newly adopted rules, registrants are required to disclose information about the relationship between executive compensation actually paid by a registrant and the registrant’s financial performance.

SEC Publishes Fee Rate Advisory #1 for Fiscal Year 2023

On August 26th, the SEC announced that the fees that public companies and other issuers pay to register their securities with the SEC will be $110.20 per million dollars, an increase from $92.70 per million dollars in the previous fee rate advisory. SEC, CFTC Announce Proposed Amendments to Enhance Private Fund Reporting

The SEC has announced that, in conjunction with the Commodity Futures Trading Commission (CFTC), it is proposing amendments to Form PF that would revise reporting requirements for all filers and large hedge fund advisers. Form PF is the confidential reporting form for certain SEC-registered investment advisers to private funds.
