The SEC has proposed revisions to Form N-PX to broaden the form’s scope and make it easier and more efficient for investors to get vital information from mutual funds, exchange-traded funds, and other funds that report about their proxy votes. Funds have been required since 2003 to file Form N-PX reports to disclose their voting practices for proxy proposals concerning their investments. However, funds may be inconsistent in the way in which they disclose information about their votes, or they may use a format that is not machine readable, which can make it sometimes difficult for investors to analyze reported data. The rule would render funds’ proxy voting records more usable and easier to analyze. On September 20, 2020, EDGAR Release 21.3 was released by the Securities and Exchange Commission. This release includes new submission types N-RN, 424I, and SBS DISPUTE NOTICE. This release also introduces a Pilot phase for filing Form 24F-2 in a structured XML format.

The SEC announced on September 1, 2021 that a draft 2021Q4 update and a draft 2022 update to the SEC taxonomies were issued for the public to review and submit comments. The draft 2021 release updates the Document and Entity Information (DEI) taxonomy and the Closed-End Fund (CEF), which is a new taxonomy resulting from the Securities Offering Reform for Closed-End Investment Companies Final Rule. On July 27, 2021, the SEC began limiting automated searches to no more than 10 requests per second no matter the number of machines used to submit requests. This measure ensures that automated searches will not affect other users’ capability to access EDGAR websites, including EDGAR Company Database and EDGAR Portal. As stated in the agency’s Internet Security Policy, automated tools or “unclassified” bots are not permitted to crawl agency websites. Requests that are deemed part of an automated tool or unclassified bot and exceed 10 requests per second will be managed to guarantee equal access for all users. As of Tuesday, July 27, the SEC has discontinued support for Windows 7 and Internet Explorer. Windows 7 has not been supported by Microsoft since January 14, 2020, and Internet Explorer will reach end-of-life in June of 2022. The SEC has now updated its security protocols on www.edgarfiling.sec.gov and associated websites to no longer accept legacy security credentials from computers accessing the website via Windows 7 using Internet Explorer. On July 2, 2021, the SEC announced that an API (Application Programming Interface) is now available for beta testing on data.sec.gov. In addition to XBRL data from financial statements (Forms 10-Q, 10-K, 8-K, 20-F, 40-F, 6-K, and their variants) in a JSON format, the API features entity information and submission history. Following its upgrade to Release 21.2, the EDGAR system began supporting the 2021 International Financial Reporting Standards (IFRS) Taxonomy. The 2021 IFRS Taxonomy is consistent with that of the International Accounting Standards Board which was made available on the its website on March 24, 2021. On June 22, 2021, the SEC announced amendments to Volume I of the EDGAR Filer Manual pertaining to Section 4.b and the Manual Passphrase Update Request. These updates require filers who have misplaced their passphrase to provide certain supporting documentation indicating the connection between the individual(s) requesting access and the existing EDGAR account. They must also provide documentation indicating how the individual(s) requesting access connects to the individual(s) acting on that individual’s behalf. On June 22, 2021, the SEC announced that the anticipated September 2021 update to the EDGAR system will introduce a pilot phase for filing Form 24F-2. On June 21, 2021, EDGAR Release 21.2 was released by the Securities and Exchange Commission. This release included changes to Forms S-1, S-3, F-1 and F-3 to allow issuers of Exchange Traded Vehicle Securities to register an indeterminate number of securities and pay thefee for those securities on an annual basis. Changes were also made to Item C.7 and Part F on Form N-CEN and to add the IFRS 2021 Taxonomy.
